Corporate structure and shareholding
THE ENTITY
Lunava Digital Solutions FZCO is a Free Zone Company incorporated under IFZA and registered at IFZA Business Park, Dubai Silicon Oasis, Dubai, United Arab Emirates.
The licence covers digital portal operation, computer systems and communication equipment software design, and sourcing and procurement consultancy.
The company contracts internationally in its own name and can be onboarded as a vendor by government, enterprise and development-sector buyers.
There is no intermediate holding company or offshore layer between the operating entity and its shareholders.
SHARE CAPITAL
A single class of ordinary shares carrying equal voting, dividend and liquidation rights. No preference, deferred or non-voting classes are in issue.
The register is maintained under free zone requirements. Certified extracts are provided to counterparties and regulators on request.
Beneficial ownership is registered and kept current in line with UAE UBO regulations, and is disclosable for vendor onboarding and know-your-customer checks.
Any pledge, charge or security interest over shares or assets is disclosed to prospective investors and lenders before terms are agreed.
CORPORATE ACTIONS
Any action affecting ownership follows the same route: board recommendation, shareholder approval, then filing.
New shares are issued only with shareholder approval, with existing holders offered participation before third parties unless waived in writing.
Transfers require board approval and are subject to pre-emption. Any change of control is notified to affected clients where contracts require it.
Distributions are declared only from realised profits, after reserving working capital for contracted delivery obligations.
Amendments to the memorandum, share capital, directors or registered address are filed with the free zone authority and reflected in the licence record.
Certified corporate documents, including the licence, memorandum and shareholder certificates, are released under a mutual non-disclosure agreement.
Investor, lender and partner requests for detailed documentation are handled directly by the founding team under a mutual non-disclosure agreement.
